RULES
NOVEMBER 2010
1. NAME
The name of the Club shall be the Dinas Powis Golf Club.
2. OBJECTS
The Club is formed to provide for its Members a golf course and Clubhouse and to provide all facilities for the playing and promotion of golf and to encourage community participation in the game.
3. MEMBERS
3.1 Membership of the Club shall be open to anyone interested in the sport of golf upon application, regardless of sex, age, disability, ethnicity, sexual orientation, religion or other beliefs. Limitation of membership according to available facilities is allowable on a non-discriminatory basis. The Club may have different classes of membership and subscriptions in accordance with clauses 13,14,15,16,17 and 18 hereof.
3.2 The Club shall consist of the following categories of Members.
- Full Members.
- Five Day Members.
- Country Members.
- Non Playing Members.
- Junior Members.
- Student Members.
- Temporary Members.
- Honorary Members.
3.3 The nature and rights of each class of Members where they need to be defined shall be as defined in these Rules.
3.4 The maximum number of Members in each category shall be as laid down by the Committee from time to time.
4. OFFICERS
The Officers of the Club shall be the Captain, the President, the Immediate Past Captain, the Deputy Captain, the Lady Captain, the Secretary and the Honorary Treasurer.
5. APPOINTMENT OR ELECTION OF OFFICERS
5.1 The Captain
Any two full Members of the Club who have been full Members for at least two years shall be at liberty to nominate, in writing, a full Member who has been a full Member for at least two years as Captain for a period of one year. The nominee must accept in writing the nomination and declare their willingness to serve as Captain. The nomination and acceptance must be delivered to the Secretary on or before the 30th day of September, preceding the Annual General Meeting at which the nomination is to be voted upon in accordance with these rules. The Secretary shall forthwith, upon receipt of a valid nomination, post the same at the Club notice board and cause it to be subsequently published in the form of Postal Ballot hereinafter referred to.
5.2 The Lady Captain
The Lady Members of the Club may appoint their own Lady Captain who shall serve for one year.
5.3 The President
The President shall be appointed from the Members of the Club by a majority vote of the Committee following consultations with the Past Captains and shall serve for three years.
5.4 The Deputy Captain
The Deputy Captain shall be appointed from the Members of the Club by the Captain with the majority approval of the Committee for a period of one year.
5.5 The Secretary
The Secretary shall be appointed by a majority vote of the Committee.
5.6 The Honorary Treasurer
An Honorary Treasurer shall be appointed each year by a majority vote of the membership at an Annual General Meeting to serve the period between each Annual General Meeting and the next.
5.7 The Immediate Past Captain.
The immediate Past Captain shall serve on the Committee ex-officio.
5.8 Any temporary vacancy in any of the above posts may be filled from Members of the Club by the Committee for such period as the Committee shall determine, save that the Honorary Treasurer shall serve only until the next succeeding Annual general Meeting following the filling of a temporary vacancy.
6. THE COMMITTEE
The Committee of the Club in which the management of the Club is vested shall consist of a maximum of eight full Members of the Club elected as provided for in these Rules together with Officers herein before mentioned. Members of the Committee shall serve for a maximum of three years but may be available for re-election at the end of such period. The Committee shall, in addition to all other rights, have the right to reduce the number of elected Members of the Committee by such method they may consider right and just, but so that the number of elected Members shall never fall below five.
7. ELECTION OF COMMITTEE
The election of Members of the Committee shall take place in the following manner:
7.1 Any two full Members of the Club who have been full Members for at least two years prior to the date of their nomination, may nominate a Full Member of the Club who has been a full Member for at least two years prior to his or her nomination to serve on the Committee.
7.2 No member will be allowed to join the committee if the said member has been either disciplined or warned by a previous Committee during the previous five years.
7.3 The nomination shall be in writing, signed by those nominating and delivered to the Secretary on or before the 30th day of September, prior to the Annual General Meeting, at which the nomination is to be voted upon in accordance with these Rules and accompanied by a letter of acceptance of the nomination by the nominee.
7.4 The names of those nominated shall, immediately upon nomination, be posted on the Club Notice Board and shall be subsequently be published in alphabetical order in the form of a postal ballot hereinafter referred to.
7.5 Of the Members of the Committee, other than officers, those who have served three years shall retire from the Committee, but shall be available for re-election if nominated.
7.6 Any vacancy arising on the Committee may be filled by the Committee for such period as the Committee may determine.
8. POWERS OF THE COMMITTEE
8.1 The Committee, in addition to the powers specifically conferred by these Rules, shall have the control of the finances of the Club, the power to engage control and dismiss staff, and all such administrative powers as may be reasonable for properly carrying the objects of the Club in accordance with these Rules, including compliance with the requirements of the Community Amateur Sports Clubs as provided by the Finance Act 2002. Provided always that any determination of entrance fees, annual subscription, the imposition of any monetary levy and the making, amending or revision of any Rule is subject to the approval or confirmation by the Members in a vote at a General Meeting of the Club.
8.2 The Committee may appoint out of its number the following Sub-Committees: Ground Committee, House Committee, Match and Handicap Committee & Finance Committee. Other Sub-Committees will be formed as and when required.
The Chairman and Members of the Sub-Committees shall be nominated by the Captain subject to the approval of the Committee. The Captain and the President shall be Members of each Sub-Committee and each Sub-Committee shall have the power to co-opt any Member or Members of the Club to serve on such Sub-Committees.
8.3 At meetings of the Committee 50% attendance of Members will form a quorum. The quorum of Sub-Committees will be decided from time to time by the Committee.
8.4 The General Committee will meet once in every month. House and Ground Committee meetings to be decided upon by their respective chairperson. All other Sub-Committees will meet as decided upon by the committee.
8.5 All decisions of the Committee and of all Sub-Committees shall be by a majority of those present and voting.
9. DUTIES OF THE SECRETARY
The Club Secretary shall carry out the instructions of the Committee and Sub-Committee. The Secretary shall keep and distribute to those entitled, the minutes of all Committee and General Meetings of the Club and shall be responsible for the calling of all such meetings as directed by the Committee. The Secretary shall be responsible for all arrangements in relation to the admission of new Members to the Club and for the collection of their entrance fees and annual subscriptions from all new and existing Members. The Secretary shall conduct the correspondence of the Club and be responsible for the banking and recording of all monies received from Members or servants of the Club. The Secretary will, in conjunction with the Captain and the honorary treasurer, prepare and issue all accounts and reports relating to the business of a General Meeting of the Club. The foregoing are not exhaustive and the Secretary will also carry out any duties reasonably connected with the running of the Club. The Secretary does not have a vote at Committee Meetings or General Meetings of the Club. For the above duties the Secretary shall receive remuneration at a rate fixed, from time to time, by the Committee.
10. DUTIES OF THE HONORARY TREASURER
The Honorary Treasurer shall keep the accounts of the Club and shall make up the Annual Statement of Accounts and Balance Sheet of the Club to be distributed to Members prior to the Annual General Meeting. The Accounts shall be audited by an Independent Professional Accountant who may be a Member of the Club but not a Member of the Committee and who shall be appointed or re-appointed at each Annual General Meeting of the Club.
11. ELECTION OF MEMBERS
11.1 Membership will be considered following the completion of an application form which is available from the Secretaries office. The applicant will be asked to attend an introductory meeting with the membership section of the committee and his/her membership and information pack will be provided unless membership is refused in line with rule 11.2. The applicant will be requested to pay the appropriate entrance fee and subscription as applicable.
11.2 The Club may refuse membership only for good and sufficient cause, such as conduct or character likely to bring the Club or sport into disrepute. Appeal against such a decision may be made to the Club's members and decided by a majority vote.
11.3 The Committee may delegate the election of new Lady Members to the Committee of the Ladies Section of the club.
12. ENTRANCE FEES AND SUBSCRIPTIONS
12.1 The Club Entrance Fee and the Subscriptions shall be as fixed from, time to time, by the Committee in respect of each class of Members. Members elected will be required to pay a twelve month subscription in full within seven days of election.
12.2 Subscriptions shall be:
- Paid in advance on the first day of August in every year.
- With consent of the committee by an initial instalment in advance from the first of August and then by ten equal instalments on the first of every month until all monies owing for the subscription year are paid. Such payments must be made be standing order and are payable on the above referred dates in each relevant year. Such payments must total the amount of subscription and any administrative charges levied by the Committee for such concession. In the event of payment by instalments the following provisions of this clause shall apply to any part subscription payable.
12.3 Invoices for fees shall be sent to members during the first week of June and no Member shall play golf on the course from 1st August unless their subscriptions are paid or standing order applications completed and returned to the Secretary/Manager by 1st August. A list of members who are suspended from play may be forthwith posted in the Clubhouse.
Any member who assumes the right of membership after 1st August and plays the golf course shall be liable for the payment of the annual subscriptions.
Any Member whose standing order subscription fall into arrears by more than a month shall (subject to any contrary decision by the Committee) be suspended from play.
Suspension from play shall be lifted when payment is received.
Any Member whose subscription fall into arrears by more than 2 months shall (subject to any contrary decision by the Committee) cease to be a member but shall be liable for payment of any outstanding subscriptions.
The Committee may take whatever action is deemed appropriate to recover the outstanding debt.
12.4 Presidents of the Club, immediately upon attaining office shall be free from annual subscriptions for the period of their Presidency and following completion of this period shall be entitled to a 50% discount on the annual subscription for their category of membership for life. All past Presidents shall become Social Members free of fees when they cease playing.
13. FULL MEMBERS
Full Members are those Members who enjoy all the facilities of the Club in exchange for payment of a full subscription as fixed by the Committee, from time to time, whether or not reduced by virtue of age or long service, and who do not fall into any category of Members hereinafter referred to.
14. FIVE DAY MEMBERS
The Committee may elect any number of Five Day Members under the procedures set out in Rule 11, who will be subject to the provisions of that Rule and of Rule 12 with the following modifications:
- Full playing members of twenty years or more continuous full membership who have reached the age of 65 years of age, who elect to transfer with the agreement of the Committee to Five Day Membership status shall be entitled to vote at any meeting of the club. Five Day Members who have not qualified by age and continuous full membership status shall not be entitled to vote at any meeting of the club. All Five Day Members shall not be entitled to use the course on Saturdays and Sundays.
- A Five Day Member shall be allowed to introduce visitors only on the days upon which a Five Day Member is allowed to play.
- A Five Day Member may become a full Member of the Club upon payment of a full subscription
15. HONORARY MEMBERS
The Committee shall have the power to elect, in return for payment or otherwise, any person as an Honorary Member for life, who enjoys all the privileges of Full Playing Members of the Club without annual subscription.
16. COUNTRY MEMBERS
16.1 The definition of a Country Member shall be as defined by the Committee, from time to time, and they shall be entitled to all the privileges of full playing Members except the right to vote or enter closed Club Competitions. That a Country Member reside at least 50 miles from the club, that this be their permanent residential address and for them to have been a member of a bona fide Golf Club.
16.2 Country Members shall be elected in accordance with Rule 11 hereof, or in the case of an existing Full Member becoming eligible and applying for Country Membership by immediate election of the Committee.
17. TEMPORARY MEMBERS
17.1 A Full Member or a Five Day Member (subject to these Rules) may introduce guests as a Temporary Member to play on the course, provided that such guests are Members of a recognised Golf Club, and visiting golfers who are Members of recognised Golf Clubs may become Temporary Members upon payment of the appropriate green fee in each case prior to play and upon entering their name and the name of his or her Club in a book provided for that purpose.
17.2 The Captain or Committee may waiver the green fee for Temporary Members where considered appropriate.
17.3 Any Member may introduce a person as a Temporary Non-Playing Member of the Club, but may not introduce the same person more than six times in each year without the authority of the Captain. The name of such person must be entered in a book kept for that purpose.
17.4 The Committee may also accept as Temporary Members non-Members attending a function organised at the Club at least forty-eight hours before the date of such function, PROVIDED ALWAYS that the number of functions at which such Temporary Members can be accepted may not exceed twelve in any calendar year.
17.5 A Member introducing any person as a Temporary Member is responsible for his or her conduct at the Club, and for payment of any fees or charges.
17.6 The Committee shall have the power in their absolute discretion to forbid the introduction of any person as a Temporary Member. Such power may be exercised by any Members of the Committee who thereafter must report his or her actions to the Captain or to the Committee.
18. JUNIOR & STUDENT MEMBERS
18.1 Junior Members are under the age of eighteen.
18.2 Student Members are Members under the age of twenty-four undergoing a course of full-time education.
18.3 Junior and Student Members, having been such for a period of at least three years, may become Full Members of the Club upon reaching the age of eighteen or completing their period of full-time education, as the case may be, without payment of further entrance fees.
18.4 If Junior Members having been such for a period of three years, become Full Members of the Club then subscriptions payable by them for the first two years of full membership shall be reduced by 50% in the first year and 25% in the second year. If a Junior Member has not been a member for three years or more then upon becoming a Full Member such Junior Member, having been a member for two years or more, shall pay one third of the then entrance fee or two thirds if such Junior Member has been a member for less than two years.
19. RESIGNATION
A Member may at any time, by giving notice in writing to the Secretary, resign his or her Membership of the Club. Such Member remains responsible for the whole of the subscription due for the year of his or her resignation.
20. DISCIPLINARY PROCEDURE
20.1 The Committee has the power to reprimand, suspend or expel any Member of the Club for misconduct, breach of rules of the Club, etiquette of golf or for conduct unbecoming a Member of the Club. Provided that, after the Member has had an opportunity of appearing before the Committee to explain his or her alleged conduct, a two-thirds majority of those Committee Members present when the explanation is given, or if no explanation was given present and voting on the motion for disciplinary action, considers either a reprimand, suspension or expulsion necessary or advisable.
20.2 Any Member (other than an Honorary Member elected in return for payment) expelled in accordance with the Rules shall forfeit all rights or claims upon the Club or its property, as the Member would have by reason of Membership. There shall be no entitlement to the return of subscriptions and liability shall remain for any outstanding subscriptions or fees at the date of such expulsion. The same provision shall apply to a Member (including such Honorary Members) suspended as appropriate during the period of suspension. An Honorary Member elected in return for payment shall be entitled, on expulsion, to the return of any payment made excluding VAT, less the total of all annual subscriptions excluding VAT, which would have been made by such Member from the date of his or her election as an Honorary Member, for the number of full years to the end of the year of expulsion.
21. LADIES SECTION
21.1 Lady Members of all categories shall be Members of the Ladies Section of the Club, the management of which, so far as it relates to matches, competitions and handicaps, shall be vested in such officers and Committee of eight ladies as are appointed in accordance with the Rules of the Section.
21.2 The ladies Section shall hold an Annual General meeting.
21.3 All activities of the Ladies Section are subject to the approval of the Committee.
22. MEETINGS
22.1 That the Annual General Meeting of the Club take place on a Weekday in the month of November at a time determined by the Committee. At least ten days written notice shall be given to each Member entitled to vote at such meetings.
22.2 The business to be carried on at an Annual General Meeting shall be:
- Receipt of the Annual Accounts and Annual Report.
- Appointment of Auditors.
- Appoint an Honorary Treasurer
- The election of the Captain and Members of the Committee in accordance with Rules 5 and 7 hereof.
- Any other business of which due notice has been given in the form of a properly proposed and seconded resolution, from those Members entitled to vote, to the Secretary, in writing not later than twenty-eight days before the date of the meeting.
22.3 SPECIAL GENERAL MEETING
- May be called by the Committee on fourteen days notice at any time, stating the resolution or resolutions to be proposed at the meeting and;
- Shall be so called by the Committee upon receipt by the Secretary of a requisition in writing, signed by at least 74 Members of the Club entitled to vote, stating the object for which they desire the meeting to be called and the resolution or resolutions to be proposed thereat. Such a meeting shall be called upon fourteen days notice within a month of the receipt of the signed requisition.
22.4 No business shall be carried on at Special General Meetings apart from that indicated in the resolution or resolutions.
22.5 No amendments to any resolutions proposed at the Annual or Special General Meeting under Rules 22.2 and 22.3 hereof shall be permitted.
22.6 At any Special General Meeting 75 members entitled to vote shall form a quorum. At any Annual General Meeting 40 members entitled to vote shall form a quorum.
22.7 Votes at General meetings, other than for the purposes referred to in Clause 22.8 hereof, shall be by those present at the meeting and shall be by show of hands unless the Chairman of the meeting shall otherwise direct. The Chairman of the Meeting in the event of a tie has a second or casting vote.
22.8 Voting at the Annual General Meeting for the office of Captain and for such number of candidates for Membership of the Committee as there are vacancies, shall be by Postal Vote in the form of Ballot approved from time to time by the Committee, delivered or sent by prepaid post to those Members entitled to vote at the General Meeting at the address as given in the Club Rules.
22.9 No meeting or any business carried on thereat shall be declared void by reason only of the non-receipt or late receipt by any Member of a notice thereof, or of a ballot form.
22.10 In the event of any vacancies on the Committee being vacancies for less than three years, then the candidate for election receiving the most votes shall serve for the longest period, and should there be a tie either for election to the Committee or for the length to be served thereon, it shall be decided by the casting vote of the chairman of the meeting.
22.11 Only Full and Honorary Members may vote at General Meetings.
23. PROPERTY FUNDS AND DISSOLUTION
23.1 There shall be not more than four nor less than two Trustees of the Club.
23.2 The Trustees of the Club shall be appointed by the President of the Club and shall continue as such until their several successors are appointed, or until death, resignation, or until they shall be removed by the President of the Club provided that:
- The foregoing powers shall be exercisable only in accordance with the resolution of the Committee and the President shall be bound forthwith to act on such resolution.
- The foregoing powers shall be exercisable by the President of the Club either be deed or in writing.
23.3.1 The Club shall be non-profit making with any surplus income or gains reinvested in the Club. The property and funds of the Club cannot be used for the direct or indirect private benefit of its members other than as reasonably allowed by these Rules.
23.3.2 The Club may provide golfing and related social facilities, club sporting equipment, coaching, training, insurance cover, medical treatment, reasonable match expenses and refreshments. The Club may supply and sell food and drink and related sports clothing and equipment. The Club may make donations to Charities or to other Clubs registered with the CASCS.
23.3.3 All property of the Club shall be vested in the Trustees representing and acting for the whole of the Members of the Club. The Trustees shall be indemnified against risk and expense out of the Club property.
23.4 Subject to the provisions of clauses 23.1.1 to 23.3.3 hereto The Trustees may, when authorised thereto by the Committee, hold, purchase, sell, exchange, mortgage, charge or lease any land or buildings, or build upon the land, or alter and pull down buildings, and again rebuild.
23.5 The Trustees may, when authorised thereto by the Committee, obtain advances of money for the purposes of the Club either unsecured or upon the security of bonds or agreements, or promissory notes, or certificates of indebtedness, or mortgage, or charges of real or personal property of the Club, or bills of sale on all or any of the goods and chattels of the Club upon such terms as to interest and as to the time and manner of repayment as the Committee may determine.
23.6 In favour of a Purchaser, Mortgagee or other person dealing with the Club, a document purporting to be a minute or a resolution of the Committee signed by the Secretary of the Club, shall be sufficient evidence of such resolution.
23.7 The members may vote to wind up the Club if not less than three quarters of those present and voting at an Extraordinary meeting called for that purpose support the proposal at that meeting.
23.8 The Committee will then be responsible for the orderly winding up of the Club's affairs.
23.9 After settling all liabilities of the Club and any liabilities to the Trustees under clause 23.3 the Committee will then dispose of the Club's net assets remaining in one of the following ways:
- To another Club with similar purposes which is a charity and/or;
- To another Club with similar sports purposes which is a registered Community Amateur Sports Club and/or;
- To the Club's national governing body for use by them for related community sports.
24. THE CLUBHOUSE
The Clubhouse shall be open at all reasonable hours as fixed from time to time by the Committee who may, at its discretion, open only part of the Clubhouse.
25. INTOXICATING LIQUOR
25.1 The purchase of intoxicating liquor for supply to the Club shall be at the discretion of the Committee.
25.2 No private benefit shall accrue from the sale of liquor by the Club.
25.3 The Clubhouse shall be open for the sale of intoxicating liquor as decided, from time to time, by the Committee, subject to such hours being limited within the licensing hours for the Licensing District in which the Club is situated or as extended, from time to time, by the Authorities for the said district, generally or by specific application.
26. CHILDREN
Children under the age of eighteen years may be allowed in the Clubhouse at the discretion of the Committee subject always to the General Licensing Laws.
27. GENERAL
27.1 The Committee has the power to make bylaws for the day to day running of the Club.
27.2 Every Member shall be bound by and submit to the rules and bylaws of the club.
27.3 No notice or placard shall be exhibited, put in the Clubhouse, or in any way brought to the notice of Members without the sanction of the Committee or a Member thereof.
27.4 Every Member shall, from time to time, communicate to the Secretary his or her address to be entered in the register of Members, and all notices sent to that address by post shall be deemed to have been delivered at the time the notices would have been delivered in the ordinary course of post.
27.5 The Rules of the game of golf as adapted from time to time by the Royal and Ancient Golf Club of St Andrews, except as properly modified by the bylaws of the Club, shall be observed.
27.6 Neither the Club nor any Officer thereof shall be liable to any Member or guest of a Member for the loss or damage to any property occurring from whatever cause, whether by negligence or otherwise in or about the Club premises.
